Terms of Service
These terms govern your use of ExTems services. Please read them carefully — we've kept them as clear and fair as possible.

1. Services
- ExTems provides digital marketing services including SEO, web development, paid advertising, branding, and related services as agreed upon in individual service proposals or contracts.
- The scope, deliverables, and timeline for each engagement are outlined in a Statement of Work (SOW) or proposal, which forms part of these terms when accepted.
- We reserve the right to decline or discontinue services at our discretion, with reasonable notice provided.
2. Payment Terms
- Invoices are due within 14 days of the invoice date unless otherwise agreed in writing.
- A 50% deposit is required before project work begins for one-time projects. Monthly retainer fees are billed at the start of each billing cycle.
- Late payments may incur interest at 1.5% per month. We reserve the right to pause services for accounts overdue by more than 30 days.
- All fees are in USD unless stated otherwise. Refunds are issued at our discretion and are not guaranteed for work already completed.
3. Client Responsibilities
- You agree to provide accurate information, timely feedback, and necessary access to accounts or assets required to deliver the services.
- You are responsible for ensuring you hold the rights to any content, images, or materials you provide to us.
- You must not use our services for any unlawful, deceptive, or harmful purposes.
4. Intellectual Property
- Upon full payment, you own the final deliverables created specifically for your project (e.g., website code, ad creatives, written content).
- ExTems retains ownership of proprietary tools, frameworks, methodologies, and pre-existing materials used during the project.
- We may feature your project in our portfolio or case studies unless you request otherwise in writing before project commencement.
5. Limitation of Liability
- ExTems provides services on an 'as is' basis. We make no guarantees regarding specific rankings, traffic levels, or revenue outcomes — digital marketing results depend on many external factors.
- Our total liability to you shall not exceed the fees paid for the specific service giving rise to the claim in the preceding 3 months.
- We are not liable for indirect, incidental, or consequential damages including loss of profits or data.
6. Termination & Changes
- Either party may terminate an ongoing engagement with 30 days' written notice. All outstanding invoices become due immediately upon termination.
- We reserve the right to update these Terms at any time. Material changes will be communicated via email. Continued use of our services after changes constitutes acceptance.
- These Terms are governed by the laws of the applicable jurisdiction. Any disputes shall be resolved through good-faith negotiation before pursuing legal remedies.
